Terms of Service

Effective date: October 16, 2026 Last updated: October 17, 2026

These Terms of Service (“Terms”) govern your access to and use of:

  • the website at honeycomb.be (the “Site”), and
  • the Honeycomb building operating system platform, including the applications at honeycombbuildings.com (the “Platform”).

Together, the Site and the Platform are the “Services.” The Services are provided by ApisKB Inc., doing business as Honeycomb (“Honeycomb,” “we,” “us,” or “our”). By using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you agree on its behalf and confirm that you are authorized to do so.

1. Who these Terms apply to

The Services are intended for use in North America.

  • Customers. Building owners, property managers, and tenant organizations that subscribe to the Platform. They also sign an order form, a master services agreement, or both (a “Customer Agreement”). If a Customer Agreement conflicts with these Terms, the Customer Agreement controls.
  • Users. Individuals a Customer authorizes to use the Platform, such as tenant employees, building staff, and visitors.
  • Site visitors. Anyone who browses the Site.

2. Accounts

You must give us accurate information and keep your login credentials confidential. You are responsible for all activity under your account. Tell us right away at info@honeycomb.be if you suspect unauthorized use. A Customer’s administrators can add, change, or remove Users and their permissions.

3. Use of the Platform

Subject to these Terms and any Customer Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform for your organization’s or building’s internal purposes.

You agree not to:

  • use the Services unlawfully or in violation of building rules;
  • interfere with or disrupt the Services, or try to gain unauthorized access to them;
  • reverse engineer, copy, resell, or create derivative works of the Services, except as the law allows;
  • share access credentials, or use access-control features to let unauthorized people into a building;
  • upload malware or content that infringes or is unlawful; or
  • scrape the Services, or use them to build a competing product.

4. Parking, access, and amenities

  • Parking. Building owners or operators set parking availability, pricing (which may change dynamically), permits, visitor validation, and parking rules. Using a space does not create a bailment. Neither Honeycomb nor the operator is responsible for vehicles or their contents, except where the law requires. You are responsible for following posted rules. Violations may result in fees, towing, or loss of privileges, as the operator decides.
  • Access control. Access features depend on building hardware and third-party systems. We do not guarantee uninterrupted access. Buildings should keep alternative means of entry available.
  • Amenities and waivers. Amenity bookings are subject to building policies. Waivers you sign through the Platform are agreements between you and the building or its operator.

5. Payments

  • Users. Parking and other charges are shown before you pay. Payments are processed by Stripe, under its terms. You authorize us and our processor to charge your chosen payment method, including for recurring charges such as monthly permits, until you cancel. Honeycomb (ApisKB Inc.) is the merchant of record for payments made through the Platform. Refunds are handled under Section 5A.
  • Customers. Subscription fees, revenue sharing, invoicing, and taxes are governed by your Customer Agreement.

5A. Refund policy

  • Used parking sessions. Parking sessions that have already been used are not refundable.
  • Billing errors and duplicate charges. If you were charged in error or charged more than once, email info@honeycomb.be within 30 days of the charge. We will refund verified errors to your original payment method.
  • Other requests. We consider any other refund request at our discretion.
  • Building rules. Building owners or operators may set additional refund or cancellation rules for their parking, permits, or amenities. Those rules will be shown in the Platform or at the building.

6. Customer data

As between the parties, Customers and Users keep ownership of the data they submit to the Platform (“Customer Data”). You grant us permission to use Customer Data to provide, secure, and improve the Services. We may also create aggregated, de-identified data and use it for analytics, benchmarking, and product improvement, as long as it does not identify you or any Customer. Our Privacy Policy explains how we handle personal information.

7. Intellectual property

We and our licensors own the Services, including the software, design, content, and trademarks. If you send us feedback, we may use it without any obligation to you.

8. Third-party services

The Services link to or integrate with third parties, including Google Calendar, Resend, Slack, Linear, Anthropic (which powers the Site’s chat assistant), payment processors, and building hardware and software vendors. Those third parties’ terms govern their services, and we are not responsible for them.

9. Site content

Content on the Site, including insights, case studies, and ROI figures, is for general information only. It is not a guarantee of results, and it is not financial, legal, or investment advice. Answers from the Site’s chat assistant are generated by AI and can be wrong. Confirm anything important with our team.

10. Suspension and termination

We may suspend or end access to the Services if you breach these Terms, if your use creates a security or legal risk, or if the relevant Customer’s subscription ends. Customers may end their subscriptions as their Customer Agreement allows. Sections 5A through 14 survive termination.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. THIS INCLUDES IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, INCLUDING ANY ACCESS-CONTROL OR PARKING HARDWARE INTEGRATIONS.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Excluded damages. HONEYCOMB WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.
  • Liability cap. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) USD $100.
  • Customer Agreements. A Customer Agreement may set different limits.

13. Indemnity

You will defend and indemnify Honeycomb against third-party claims that arise from your misuse of the Services or your violation of these Terms or of the law.

14. Governing law and disputes

Governing law. These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules. Where it applies, the Federal Arbitration Act governs this section.

Binding individual arbitration. Except as provided below, you and Honeycomb agree to resolve any dispute arising out of or relating to these Terms or the Services through final, binding arbitration. The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable rules and will be seated in Dallas, Texas. The arbitrator may award relief only on an individual basis.

Class-action waiver. You and Honeycomb may bring claims against each other only in an individual capacity. Neither may bring claims as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. If this waiver is found unenforceable for a claim, that claim will be heard in court, not in arbitration.

Exceptions. Either party may:

  • bring an individual claim in small-claims court if it qualifies;
  • seek temporary or preliminary injunctive relief in court; or
  • bring a claim in court to protect or enforce its intellectual property rights.

Venue. Any court proceeding permitted under these Terms will be brought exclusively in the state or federal courts located in Dallas County, Texas. Both parties consent to personal jurisdiction there.

Nothing in this section limits rights you have under consumer-protection laws that cannot be waived.

15. Changes

We may update these Terms. We will post changes on this page with a new “Last updated” date. If we make material changes, we will provide reasonable notice. If you keep using the Services after changes take effect, you accept the updated Terms.

16. General

These Terms, together with any Customer Agreement and our Privacy Policy, are the entire agreement between you and us about the Services.

  • Assignment. You may not assign these Terms without our consent.
  • Severability. If any provision is unenforceable, the rest of these Terms stays in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
